Agreement to Terms

• Make payments according to the agreed schedule

Payment Terms

Fees and Payment

• Payments are due upon receipt of invoice
• All fees are quoted in Indian Rupees (INR) unless stated otherwise
• Prices are subject to applicable taxes
• Late payments may incur interest charges

Refunds

Refund policies vary by service type and will be specified in individual service agreements. Generally:

• Deposits for custom work are non-refundable once work begins
• Monthly retainer fees are non-refundable for the current billing period
• Our money-back guarantee applies only to specific services as advertised

Intellectual Property

Client Materials

You retain ownership of all materials, content, and intellectual property you provide to us. By providing materials, you grant us a license to use them solely for the purpose of delivering our services.

Deliverables

Upon full payment, you will own the rights to final deliverables created specifically for you, unless otherwise specified. We retain the right to showcase work in our portfolio unless you request confidentiality in writing.

Our Materials

We retain ownership of our proprietary tools, methodologies, templates, and pre-existing intellectual property used in service delivery.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. This includes:

• Business strategies and plans
• Customer data and analytics
• Pricing and financial information
• Trade secrets and proprietary processes

Confidentiality obligations survive the termination of our business relationship.

Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid for the specific service in question
• We do not guarantee specific results from marketing or advertising services
• We are not responsible for third-party platform changes, downtime, or policy modifications

Indemnification

You agree to indemnify and hold harmless SHINEOVATIVE SOLUTIONS, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Your violation of any law or third-party rights
• Content or materials you provide that infringe on intellectual property rights
• Your use of our services

Termination

Either party may terminate the service relationship:

• By providing written notice as specified in the service agreement
• Immediately upon material breach by the other party
• For convenience, with appropriate notice period

Upon termination, all outstanding payments become immediately due, and we will provide reasonable transition assistance.

Dispute Resolution

Any disputes arising from these Terms or our services will be:

1. First addressed through good-faith negotiation
2. If unresolved, submitted to mediation
3. Subject to the exclusive jurisdiction of courts in Hyderabad, India

General Provisions

Entire Agreement

These Terms, together with any service agreements and proposals, constitute the entire agreement between the parties.

Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
